Service Agreement

This Service Agreement outlines the terms for custom AI voice agent development and deployment services.

1. Scope of Services

Custom Development: We provide personalized AI voice agent development tailored to your specific business needs, including:

  • Initial consultation and requirements gathering
  • Custom voice agent training with your scripts and workflows
  • Integration with your existing systems (CRM, booking platforms, etc.)
  • Testing and optimization
  • Deployment and go-live support

Ongoing Services: Monthly services include:

  • 24/7 hosting and infrastructure management
  • Performance monitoring and optimization
  • Script updates and refinements
  • Technical support during business hours
  • 2,000 minutes of call time (additional minutes billed separately)

2. Service Delivery

Timeline: Initial deployment typically takes 2-4 weeks from contract signing, depending on complexity and integration requirements.

Availability: Voice agents operate 24/7/365. Support is available during standard business hours (Monday-Friday, 9 AM - 5 PM EST).

3. Client Responsibilities

To ensure successful deployment, clients must:

  • Provide complete and accurate business information
  • Supply call scripts, FAQs, and training materials
  • Grant necessary access to integration systems
  • Participate in testing and feedback sessions
  • Notify us of any changes to business processes

4. Ownership and Licensing

Technology Ownership: All AI technology, source code, algorithms, and infrastructure remain the sole property of Custom Voice Agents. Clients receive a non-exclusive, non-transferable license to use the service during the agreement term.

Client Data: Clients retain ownership of their business data, scripts, and proprietary information. We maintain the right to use anonymized performance data for service improvement.

5. Service Level Commitments

We strive to maintain:

  • 99% uptime for voice agent availability
  • Response time within 24 hours for support requests
  • Proactive monitoring and issue resolution

6. Fees and Payment

Setup Fee: One-time fee starting at $999, due upon contract signing.

Monthly Service Fee: Starting at $499/month, billed in advance.

Overage Charges: Additional minutes beyond the included 2,000 are billed at $0.10 per minute.

Payment Terms: Net 30 days. Late payments may result in service suspension.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business processes, customer data, and technical implementations.

8. Limitation of Liability

Our total liability under this agreement shall not exceed the total fees paid in the preceding 12 months. We are not liable for:

  • Indirect or consequential damages
  • Lost profits or business opportunities
  • Issues arising from AI responses or customer interactions
  • Third-party system failures or integration issues

9. Term and Termination

Initial Term: Month-to-month from the service start date.

Renewal: Automatically renews monthly unless terminated.

Termination: Either party may terminate with 30 days written notice. Setup fees are non-refundable.

10. Governing Law

This agreement is governed by the laws of the state in which Custom Voice Agents operates, without regard to conflict of law principles.
